These Terms and Conditions ("Terms") govern your access to and use of Crisphive, including the website located at www.crisphive.com, and any related applications, software, or services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Company Information and Brand Disclosure

Crisphive is a software platform and brand operated by WicWac Inc., a company federally incorporated in Canada.

References to "Crisphive," "we," "us," or "our" mean WicWac Inc. operating under the Crisphive brand.

2. Eligibility

Users must be at least 18 years old and legally capable of binding themselves. Those using the Service for a business represent they have authority to bind that entity to these Terms.

3. Description of the Service

Crisphive provides a technology platform for scheduling, coordinating, and managing mobile service teams with job assignments, calendars, notifications, and workflow management tools. The company reserves the right to modify, suspend, or discontinue any Service aspect with or without notice.

4. Account Registration

Account creation requires:

  • Accurate, current, complete information
  • Confidentiality of login credentials
  • Prompt notification of unauthorized access

Users are solely responsible for all account activities and for keeping the contact information associated with their account — including email address and mobile phone number — accurate and current at all times.

5. Communications, Notifications, and Electronic Notices

5.1 Consent to Functional Communications

By creating an account or using the Service, you consent to receive Functional Communications from Crisphive by email and, where enabled, by SMS. Functional Communications are communications integral to the operation, security, and administration of the Service and your account, including without limitation: account and security notices (including one-time passcodes), billing and subscription notices, schedule and dispatch notifications, service and maintenance notices, and legal or policy notices. Functional Communications are a condition of using the Service and cannot be opted out of while your account remains active. It is important that you receive and review them. The only means of ceasing Functional Communications is termination of your account.

5.2 Marketing Communications

Where permitted by applicable law and your stated preferences, Crisphive may send Marketing Communications, such as newsletters, product announcements, and promotions. Every Marketing Communication includes an unsubscribe mechanism, and you may opt out at any time without affecting your access to the Service or your receipt of Functional Communications.

5.3 SMS Messages and One-Time Passcodes

Consent to SMS service notifications is obtained through your acceptance of these Terms. Consent to SMS one-time passcodes (OTP) is obtained separately by checkbox when you elect to log in via SMS. Message and data rates may apply, and message frequency varies. You may opt out of SMS notifications by replying STOP; opting out does not disable OTP messages while you continue to use SMS-based login. OTP codes are confidential: never share an OTP code with anyone. Crisphive will never ask you for an OTP code by phone, text, or email. You are solely responsible for any loss or unauthorized access resulting from your disclosure of an OTP code or login credentials to any third party.

5.4 Electronic Notices; Deemed Receipt

You agree that Crisphive may provide any notice, disclosure, or communication required under these Terms or applicable law electronically, including by email to the address on file, by SMS, or by posting within the Service, and that electronic delivery satisfies any legal requirement that a communication be in writing. A communication is deemed given and received when sent by Crisphive to the email address or phone number on file for your account, or when posted within the Service, whether or not you actually receive or read it.

5.5 Your Responsibility; Limitation of Liability for Communications

You are solely responsible for maintaining accurate contact information, ensuring communications from Crisphive are not blocked or filtered, and reviewing communications in a timely manner. Email and SMS are not guaranteed delivery media, and Crisphive does not warrant that any communication will be delivered, timely, uninterrupted, or secure. To the maximum extent permitted by applicable law, Crisphive and WicWac Inc. shall have no liability for any loss, damage, cost, or consequence arising from (a) your failure to receive, read, or act on any communication; (b) inaccurate or outdated contact information; (c) spam or security filtering, mailbox or device limitations, or carrier or provider failures; or (d) any unauthorized access resulting from your disclosure of OTP codes or credentials. This Section is in addition to, and does not limit, Sections 8.3 (Disclaimer of Warranties) and 8.4 (Limitation of Liability).

6. Acceptable Use

Prohibited activities include:

  • Unlawful, fraudulent, or misleading use
  • Interference with Service systems or networks
  • Unauthorized data access
  • Reverse engineering, copying, modifying, or reselling without permission
  • Uploading malicious code or harmful material

The company reserves the right to investigate violations and suspend or terminate access.

7. Subscriptions, Fees, and Payments

Key terms include:

  • Fees billed in advance
  • Non-refundable unless legally required
  • Prices updated with reasonable notice
  • Account suspension or termination for non-payment

7.1 Enterprise Accounts

Enterprise subscribers may designate administrators for user and permission management. Customers are responsible for all activity by their users. Any separate written agreement executed between you and WicWac Inc. shall prevail in the event of a conflict with these Terms.

7.2 Service Level Commitment (SLA)

The company will use commercially reasonable efforts to maintain 99.5% monthly uptime, excluding scheduled maintenance, emergency maintenance, force majeure, and third-party failures. Enterprise customers receive priority support with target response times based on severity. When uptime falls below stated availability, eligible enterprise customers may request service credits calculated as a percentage of monthly fees. SLA credits are the sole and exclusive remedy for SLA failures.

7.3 Data Security (Enterprise)

WicWac maintains safeguards protecting customer data against unauthorized access, loss, or disclosure. Enterprise customers may request security practice summaries.

7.4 Data Retention and Deletion

Upon account termination, customer data is retained briefly for account recovery, then permanently deleted unless legally required. Enterprise customers may request data export before termination.

7.5 Confidentiality

Both parties agree to maintain confidentiality of non-public business, technical, or commercial information disclosed and use it solely to fulfill obligations.

7.6 Customer Data and Privacy

You retain ownership of all data, content, and information you submit to the Service. Users grant WicWac Inc. a limited license to host, process, and use Customer Data for Service provision, maintenance, and improvement. Privacy practices comply with Canadian law, including PIPEDA. Where you use the Service to send communications to your own employees, contractors, or customers, you represent and warrant that you have obtained all consents required by applicable law for those communications, and you shall indemnify WicWac Inc. against any claim arising from your failure to do so.

7.7 Intellectual Property

All intellectual property in the Service, including software, designs, trademarks, and branding, belongs to WicWac Inc. Users receive a limited, non-exclusive, non-transferable, revocable license to use the Service only in accordance with these Terms. Trademark usage requires prior written consent.

7.8 Third-Party Services

The Service may integrate with third-party products, including email and SMS delivery providers. WicWac Inc. is not responsible for third-party content, availability, security, or practices. Third-party use is governed by their respective terms.

8. Warranties, Liability, and Indemnification

8.1 Service Availability

The Service is provided on an "as is" and "as available" basis. The company does not guarantee uninterrupted, error-free service meeting all requirements.

8.2 Disclaimer of Warranties

WicWac Inc. disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement, and any warranty regarding the delivery, timeliness, or security of any email or SMS communication.

8.3 Limitation of Liability

The company is not liable for indirect, incidental, special, consequential, or punitive damages, including any such damages arising from communications sent, delayed, or not received. Our total liability shall not exceed the fees paid by you to the Service in the 12 months preceding the event giving rise to the claim.

8.4 Indemnification

Users indemnify WicWac Inc., its directors, officers, employees, and agents from claims arising from Service use, Terms violations, legal violations, or communications the user sends or causes to be sent through the Service.

9. Termination

Users may terminate anytime. The company may suspend or terminate immediately if users breach Terms, required by law, or if use poses security or operational risks. Upon termination, Functional Communications cease, except for final billing, legal, or wind-down notices that we may be required or permitted to send.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Users agree to exclusive Ontario court jurisdiction.

11. Changes to These Terms

The company may update Terms periodically. Material changes are communicated through the Service or reasonable means. Continued use constitutes acceptance.
